Terms & Conditions
Version 0.2 · Last updated 2026-10-10
The English legal text controls. Spanish UI labels are provided for navigation; a full Spanish translation will follow after counsel review of the English text.
These Terms are a publishable working draft for Cuadre. They are not legal advice and have not been approved by counsel. Items marked [TBD] will be completed when the legal entity, billing, and counsel decisions are finalized.
Provider / operator: Cuadre (getcuadre.com). The formal legal entity name will be updated on this page when formation details are finalized.
1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern access to and use of the Cuadre cloud service, websites, and related applications made available at getcuadre.com and successor URLs (the “Service”) by Cuadre (getcuadre.com) (“Provider,” “we,” “us”).
By creating an account, accepting an organization invitation, clicking to accept these Terms, or accessing the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent (“Customer”). If you do not agree, do not use the Service.
If you accept on behalf of a company or other entity, you represent that you have authority to bind that entity. If you lack authority, you may not accept these Terms for that entity.
Related policies: Privacy Policy at /privacy. Cookie Policy [TBD]. Data Processing Agreement / DPA [TBD]. Acceptable use is incorporated in Section 4 unless published separately.
2. The Service
2.1 What Cuadre provides
Cuadre is a multi-tenant partner settlement and flip-ops software service. Depending on features enabled for Customer’s organization, the Service may include tools to:
- Create and manage an organization (tenant) and invite members
- Track properties / projects through acquisition, renovation, sale, settlement, and close statuses
- Record expenses and income, categories, payment methods, and related ledger fields
- Support payroll / labor / attendance workflows and Excel-parity finance calculations (including tax helper fields such as IVU-style amounts where configured)
- Track partner capital, advances, lenders, and settlement projections/runs
- Upload receipts, documents, and photos, including optional AI-assisted receipt extraction subject to human review
- Optionally receive invoice/receipt media via integrations (e.g., WhatsApp) where configured
- Export, report, and otherwise operate day-to-day flip crew settlement workflows
2.2 What Cuadre is not
Customer acknowledges that the Service is operational and financial tooling, not a substitute for professional advisors. Without limiting other disclaimers:
- Cuadre is not a law firm, CPA firm, enrolled agent, or tax return preparer.
- Outputs (including settlements, IVU helpers, deal-analysis defaults, payroll stamps, and AI extraction fields) are not legal, tax, accounting, payroll-compliance, or investment advice.
- Cuadre does not file taxes, remittance, or IVU/SURI (or equivalent) returns on Customer’s behalf.
- Cuadre is not Customer’s books of record solely by virtue of using the Service; Customer remains responsible for its own accounting systems and filings.
- Excel-parity and “honest cuadre” positioning describe product design intent relative to Customer’s spreadsheet practices — not a warranty of perfect match to every workbook, jurisdiction, or deal structure.
2.3 Changes to the Service
Provider may modify, add, or discontinue features. Material adverse changes to paid features will be handled as described in Section 12 (or as otherwise stated in an Order Form). [TBD: notice period for material changes to free vs paid plans]
2.4 Beta / early access
Features labeled beta, preview, or experimental may be incomplete or change without notice and are provided AS IS.
3. Accounts, organizations, and roles
3.1 Accounts
Users must provide accurate registration information and keep credentials confidential. Customer is responsible for activity under its users’ accounts. Notify Provider promptly of suspected unauthorized access. [TBD: security incident notification channel]
3.2 Organizations (multi-tenant)
Customer data is scoped to Customer’s organization (tenant). Users act within organizations they create or join via invitation. Customer is responsible for designating administrators; inviting and removing members and managing roles; configuring integrations and approving who may submit or approve financial records; and ensuring only authorized persons access the organization.
3.3 Participants vs login members
The Service may distinguish login members (authentication / RBAC) from economic participants (capital, ownership, who-paid, advances). Paper participants may exist without user accounts. Customer remains responsible for the accuracy of participant and ownership data.
3.4 Age and eligibility
The Service is intended for business use by adults. Users must be at least 18 years old and legally able to enter contracts. The Service is not directed to children.
3.5 Organization authority
Actions by Customer’s administrators (including accepting Terms updates, purchasing plans, exporting/deleting data, or inviting users) bind Customer.
4. Acceptable use
Customer and its users will not (and will not permit others to):
- Use the Service in violation of applicable law or regulation
- Upload content Customer lacks rights to use, or that infringes others’ IP, privacy, or publicity rights
- Upload malware, or attempt to probe, scan, penetrate, or bypass security or access controls (except with Provider’s prior written authorization for a security assessment)
- Access another tenant’s data or accounts without authorization
- Reverse engineer, decompile, or attempt to derive source code except to the extent such restriction is prohibited by law
- Resell, sublicense, or provide the Service to third parties as a bureau/service bureau except as expressly permitted in writing
- Interfere with or degrade the Service
- Use the Service to develop a competing product using non-public aspects of the Service obtained through misuse
- Use AI or extraction features to process content Customer is not legally permitted to process
- Misrepresent extracted or calculated amounts as audited financial statements or government filings
Provider may suspend access for material violations, security risk, or unpaid fees (see Section 12), preferably with notice when practical.
5. Customer Data, confidentiality, and privacy
5.1 Customer Data
“Customer Data” means data, files, images, and content submitted to the Service by or for Customer (including receipts, documents, photos, ledger entries, worker/attendance records, and messages routed into the Service).
As between the parties, Customer owns Customer Data. Provider receives a limited license to host, copy, process, transmit, display, and otherwise use Customer Data solely to provide, maintain, secure, and support the Service, and as otherwise permitted in these Terms or Customer’s written instructions (including through product features Customer enables).
5.2 Customer responsibilities
Customer is responsible for the accuracy, legality, and content of Customer Data; for obtaining all consents and rights needed to submit personal data of workers, partners, vendors, or others; and for configuring roles so that sensitive financial data is only visible to authorized users.
5.3 Confidentiality
Each party will protect the other’s non-public business information disclosed in connection with the Service using reasonable care and use it only to perform under these Terms, except for information that is public, independently developed, or rightfully received from a third party without duty of confidentiality. Compelled disclosures will be limited to what is legally required, with notice to the other party where legally permitted.
5.4 Privacy / personal data
Processing of personal data is described in Provider’s Privacy Policy at /privacy and, where required, a [TBD: DPA]. These Terms do not claim GDPR/CCPA compliance certification.
5.5 Subprocessors / infrastructure
Provider may use subprocessors (hosting, object storage, email, AI model providers, queueing, communications) to operate the Service. [TBD: publish subprocessors list URL]
5.6 Usage Data
Provider may collect de-identified / aggregated usage metrics to operate and improve the Service. Provider will not disclose Usage Data externally in a form that identifies Customer or its users, except as required by law or with Customer’s consent.
5.7 Multi-tenant isolation
Provider designs the Service for organization-scoped access controls. Customer remains responsible for user provisioning mistakes within its own organization.
6. AI features
6.1 Assistive only
AI and machine-learning features (including vision models that extract fields from receipts or documents) are assistive. Outputs may be incomplete, incorrect, or misread (including handwritten, bilingual, damaged, or unusual layouts).
6.2 Human review
Customer must review and approve or correct AI outputs before relying on them for ledger entries, payroll, settlements, partner balances, or third-party reporting. Features that place items in pending/review states reflect this expectation.
6.3 Model providers and training
Customer Data submitted to AI features may be processed by Provider and its AI subprocessors to generate outputs for Customer. Whether prompts or outputs are retained by third-party model vendors for training remains [TBD] pending vendor-contract review.
6.4 No automation of legal or tax conclusions
AI features do not determine taxability, IVU remittance, employment classification, or legal rights between partners. Tax-applicable flags and rates in the product are Customer-controlled tooling inputs.
7. Media retention and deletion
7.1 Active properties
While a property remains active (not in a terminal closed/sold retention window), associated media (receipts, documents, photos) is retained to support operations, subject to Customer deletions and applicable law.
7.2 After CLOSED / SOLD
After a property reaches CLOSED or SOLD (or equivalent terminal statuses as implemented), Provider may automatically delete associated media objects from object storage after a retain period. The product default retain window is thirty (30) days after an anchor date (currently: sale date if set, otherwise last update), configurable by Provider via environment policy (MEDIA_RETAIN_DAYS_AFTER_CLOSE).
[TBD: whether Customer can configure retain days per org; whether ledger metadata survives media purge; customer export obligations before purge; notice to admins before purge.]
7.3 Customer exports
Customer should export or download records it needs for legal, tax, or accounting retention before media purge. Provider is not Customer’s long-term archival vault unless separately agreed in writing.
7.4 Deletion on termination
Upon termination, Provider will delete or disable access to Customer Data within sixty (60) days after Customer’s request or account closure, subject to backup retention and legal holds. Media may already have been purged under Section 7.2.
8. Puerto Rico / IVU and financial calculations
8.1 Domain context
Cuadre’s finance helpers are informed by Puerto Rico house-flip spreadsheet practice, including an IVU-style tax helper. Product documentation describes a default helper of 11.5% of taxable subtotal when a line is marked tax-applicable. Rates in software are configuration/tools, not advice.
8.2 Customer control and verification
Customer is solely responsible for whether tax applies to a line; whether rates, categories, and settlement tiers match Customer’s deals and counsel/CPA guidance; remitting any taxes and filing any returns; and partner agreements, lender contracts, and employment/payroll compliance outside the Service.
8.3 No rate invention in these Terms
These Terms do not establish, guarantee, or update tax rates. If product defaults diverge from law, law and Customer’s advisors control.
9. Intellectual property
Provider and its licensors own the Service, software, documentation, brand (including “Cuadre”), and all related IP. No rights are granted except as expressly stated. If Customer provides feedback or suggestions, Provider may use them without restriction or obligation. Customer Data remains Customer’s, subject to the license in Section 5. The Service may include open-source or third-party components under their own licenses.
10. Fees, payment, and subscriptions
Product billing is not finalized (checkout/billing stub). Fees, plan limits, trial length, renewal, processor, currency, refunds, and grace periods remain [TBD] until stated on a pricing page, Order Form, or in-app plan. Fees are exclusive of taxes unless stated otherwise. Customer is responsible for taxes on Fees other than Provider’s income taxes, as permitted by law.
11. Warranties and disclaimers
Each party represents it has authority to enter these Terms.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR AN ORDER FORM, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PROVIDER DOES NOT WARRANT THAT CALCULATIONS, SETTLEMENTS, AI EXTRACTIONS, OR EXPORTS WILL BE ERROR-FREE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR LEGAL, TAX, OR ACCOUNTING PURPOSE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (1) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. (2) EACH PARTY’S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GENERAL CAP: fees paid or payable by Customer to Provider for the Service in the [TBD: e.g. 12 months] before the event giving rise to liability (or [TBD: fixed amount for free tier]). (3) [TBD: carve-outs for confidentiality, IP indemnity, willful misconduct, data protection — counsel]. These limits allocate risk and remain in effect even if any remedy fails of its essential purpose.
13. Indemnification
Customer will defend and indemnify Provider against third-party claims arising from Customer Data, Customer’s misuse of the Service, Customer’s partner/lender/employment disputes, or Customer’s violation of law or these Terms, and will pay resulting damages and reasonable attorneys’ fees finally awarded (or settled with Customer’s consent, not unreasonably withheld). [TBD: Provider IP infringement indemnity for the Service.]
14. Term, suspension, and termination
These Terms start when Customer first accepts them and continue until terminated. [TBD: termination for convenience details for free vs paid.] Either party may terminate for material breach uncured within [TBD: 30 days] after notice, or immediately for incurable material breach, insolvency events, or illegal use. Upon termination, Customer’s access ends. Sections that by nature should survive (IP, confidentiality, disclaimers, liability limits, indemnity, governing law) survive.
15. Governing law and disputes
These Terms are governed by the laws of [TBD: jurisdiction — e.g. Commonwealth of Puerto Rico / State of ___ / Delaware], excluding conflict-of-law rules. Do not treat any placeholder as a chosen venue.
[TBD: dispute resolution path — arbitration, exclusive courts, and/or negotiation/mediation; class-action waiver only if counsel approves.] Until filled, disputes will be resolved in accordance with applicable law in the forums that have jurisdiction — this placeholder is not a waiver of jury trial or arbitration agreement.
16. Export, sanctions, and high-risk use
Customer will not use the Service in violation of export control or sanctions laws. The Service is not designed for high-risk activities where failure could lead to death, personal injury, or severe environmental damage.
17. Modifications to these Terms
Provider may update these Terms by posting a revised version and updating the “Last updated” date, and/or by in-product notice. [TBD: for material changes, advance notice to org admins; continued use = acceptance; objection/termination rights for paid customers.]
18. Miscellaneous
These Terms plus any Order Form / DPA / policies incorporated by reference are the entire agreement regarding the Service. Customer may not assign without Provider’s consent except to an affiliate or successor in connection with a merger or sale of substantially all assets; Provider may assign to an affiliate or successor. Unenforceable terms are modified to the minimum extent necessary; waiver must be in writing. Neither party is liable for delays caused by events beyond reasonable control (excluding payment obligations). Legal notices to Provider: [TBD: confirmed legal inbox / registered address] (until then, contact via https://getcuadre.com). Notices to Customer: email associated with organization admins or in-product notice. The English version controls if translations conflict.
